KEY RESPONSIBILITIES
- Preparing corporate documentation pursuant to the Business Corporations Act (Alberta)
- Drafting legal documents and agreements, including those relating to incorporations, amendments, dissolutions and various other types of corporate transactions
- Drafting documents related to incorporation and organize both Provincial and Federal corporations
- Assist with corporate due diligences, corporate reorganizations, share or asset purchase transactions or tax reorganization
- Conduct due diligence minute book reviews, including recommendations regarding deficiencies
- Drafting share provisions pursuant to Lawyers instructions
- Attend closings
- Follow up and maintenance of registrations under the relevant legislation
- Other duties as assigned

TECHNICAL ASSETS
- Must have a strong base in MS Excel, Word, Outlook
- Experience with a corporate database system (ALF) preferred
- Ability to work independently with some direction or guidance
- ACUMIN or SOLUNO knowledge an asset
- Worldox knowledge an asset
EDUCATION and EXPERIENCE
- Must have CORES level II (Level III preferred) certification
- Be a graduate of an accredited legal assistant program
- A minimum of 2 years of experience as a Corporate Legal Assistant
